These terms govern your use of Boundary Social. They are written to be readable, not to be tricky. If anything is unclear, email us at clubs@boundarysocial.co.uk and we will explain it.

1. Who we are

Boundary Social is a UK-based service operating in England. References in these Terms to "we", "us" or "Boundary Social" mean the operator of Boundary Social.

References to "you", "the Client", or "the Club" mean the cricket club, league, association or individual ordering services from us.

2. The services

We offer three services. The headline description on our website is the binding description, save where these Terms specify otherwise.

2.1 Done For You

We produce a quantity of social media graphics each week (per the tier you select) using information you provide. We deliver to you for approval via WhatsApp, email or Google Drive. You publish, or instruct us to publish on your behalf.

2.2 DIY Studio (Beta)

Software access for you to produce your own graphics from our template library. Beta access is provided "as is" while we improve the product.

2.3 We Create, We Post

This service is on a waitlist and not currently available. No charges apply until you accept a written quote and begin.

3. Service targets, not guarantees

Turnaround targets: we aim to deliver within 24–48 hours of receiving complete match data on working days (Monday to Saturday). Monday round-ups are dispatched by 10am where weekend results are submitted by 9pm Sunday. Posting frequency is agreed with each club around their fixture calendar.

Where we miss a target through our own fault, our sole obligation is to deliver the missed work as soon as practicable. Persistent failure entitles you to cancel for that month with a pro-rata refund of unused fees.

4. Free sample & founding-customer benefits

We offer a free sample post to any cricket club that requests one. No payment card is required. The sample is produced using a recent fixture or result you supply, branded to your club. There is no obligation to proceed.

If you decide to subscribe after seeing the sample, email clubs@boundarysocial.co.uk confirming your chosen tier. We will set you up within 24-48 working hours.

The first 20 paying clubs receive complimentary design tweaks and custom branding setup (normally £49) as a founding-customer benefit. This offer ends once 20 clubs have signed up, after which the £49 setup fee applies.

The sample itself is yours to keep, whether you proceed or not.

5. Payment

Subscriptions are monthly, billed in advance on the day of the month you started the paid service.

Accepted payment methods: bank transfer, GoCardless direct debit, Stripe card. Invoices are due on the billing date. We may pause delivery for any subscription more than 7 days in arrears.

VAT: we are not currently VAT-registered. If we cross the VAT threshold, prices will be adjusted prospectively and you will be notified at least 30 days in advance.

6. Cancellation

To cancel, email clubs@boundarysocial.co.uk at least 7 days before your next billing date. We will deliver any work in progress, stop billing from the next cycle, and confirm closure in writing.

We do not provide refunds for the current month once content for that month has been produced. You keep everything already delivered.

7. Your obligations

You agree that:

You indemnify us against any third-party claim arising from breach of this clause 7.

8. Intellectual property

Finished graphics: on receipt of payment for the relevant period, you own the finished graphics we deliver to you and may use, edit and reproduce them as you wish.

Templates, design system, software: we retain all intellectual property rights in our templates, design library, source files, codebase and the Boundary Social brand. You receive a non-exclusive licence to use any layered or editable file we provide to you for the purposes of operating your cricket club's communications. You may not resell our templates or pass them to a third-party design service.

Your assets: you retain all rights in your club's name, crest, sponsor logos and supplied photographs. You grant us a non-exclusive, royalty-free, time-limited licence to use those assets solely to deliver the services to you. The licence ends 30 days after termination, at which point we will delete the assets from our active systems.

9. Limitation of liability

Our total aggregate liability to you in any 12-month period, for any cause whatsoever (whether arising in contract, tort, breach of statutory duty, or otherwise), is limited to the fees paid by you to Boundary Social in the 3 months immediately preceding the event giving rise to the claim.

We exclude liability for:

Nothing in these Terms limits liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability which cannot be limited or excluded by law.

10. Data protection

Where we process personal data on your instructions in the course of providing the services, you are the data controller and we act as your data processor under UK GDPR Article 28. Our processing is governed by our Privacy Notice, which is incorporated into these Terms by reference and acts as the agreed Data Processing Addendum.

Our key undertakings: process personal data only on your documented instructions; maintain appropriate technical and organisational security measures; assist you with subject-access requests; notify you without undue delay of any personal data breach; delete or return personal data on termination of services.

11. Safeguarding and content we will not produce

We will not produce graphics that include: photographs of persons under 18; injury or medical detail; disciplinary content; named opposition juniors; or unverified allegations. We will politely refuse such requests and suggest a safer alternative. We follow the principles of the ECB Safe Hands policy in respect of junior cricket.

12. Confidentiality

Each of us agrees to keep the other's commercial, financial and operational information confidential and to use it only to perform these Terms. This obligation continues for 2 years after termination.

13. Force majeure

Neither party is liable for failure or delay caused by events outside its reasonable control, including but not limited to: power or internet outage; third-party platform failure; pandemic; industrial action; severe weather; act of public authority. The affected party will notify the other promptly and use reasonable efforts to mitigate impact.

14. Suspension and termination by us

We may suspend services or terminate this agreement immediately, on written notice, if you: (a) materially breach these Terms and fail to remedy within 7 days of notice; (b) become insolvent; or (c) instruct us to produce content we consider unlawful, defamatory or in breach of safeguarding principles.

15. Changes to these Terms

We may amend these Terms by giving you at least 30 days' written notice. If you do not accept the change, you may cancel as in clause 6, and the existing Terms apply until the end of your final billing month.

16. Governing law and jurisdiction

These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.

17. Entire agreement

These Terms, together with our Privacy Notice and the description of the services and pricing on our website at the time you sign up, constitute the entire agreement between us in relation to the services. They supersede any prior representations or agreements.

If anything in these Terms is held to be unenforceable, the rest of the document continues in effect.
